Description

This module has particular reference to private companies and includes an examination of the procedures for incorporation as well as a comparison between the incorporated company and other forms of business vehicle. The module also explores the constitution of the company, the powers, rights and duties of directors and shareholders and the governance of the company. The module concludes with an examination of the remedies available for shareholders and creditors in respect of mismanagement or misfeasance.
